Phase 1: Year 1
Volunteer recognition phase. Contributors work on volunteer basis and receive public credits, portfolio rights, and priority for Phase 2.
VOLUNTEER RECOGNITION
Phase 2: Years 2-3
2% annual net revenue pool distributed by contribution points. Minimum 20 points per quarter to remain active. Payouts via PayPal/Wise.
2% REVENUE SHARE
Phase 3: Year 4+
5% annual net revenue pool for long-term core contributors. Formal "Core Contributor" role with priority for salaried positions.

CONTRIBUTOR AGREEMENT
Feerebu Studios - Ranchie DevOps Developer Collective
1. SERVICES AND CONTRIBUTION PHASES
Contributor will provide software development services ("Services") according to the following phases:
Phase 1 (Year 1): Volunteer Recognition Phase
- Services provided on volunteer basis
- Compensation: Public recognition, portfolio rights, priority for Phase 2
Phase 2 (Years 2-3): Revenue Share Phase
- 2% of Net Revenue pool per year, allocated by contribution points
- Active contributors only (minimum 20 points per quarter)
Phase 3 (After Year 3): Long-term Core Contributor
- 5% of Net Revenue pool per year, allocated by contribution points
- Formal "Core Developer" role with priority for salaried positions
2. COMPENSATION AND REVENUE SHARE
"Net Revenue" means gross revenue from the product minus payment processing fees, refunds, and direct hosting costs.
Revenue share pools:
- Years 2-3: 2% of Net Revenue reserved for Phase 2 contributors
- Year 4+: 5% of Net Revenue reserved for Phase 3 contributors
Allocation: Contributor's share = (Their Points ÷ Total Active Points) × Pool Amount
Contribution points system:
- Tasks assigned 1-5 points based on complexity
- Points awarded when PR merged and deployed
- Minimum 20 points per quarter to remain "active"
Payouts:
- Minimum payout: $50 USD per quarter
- Paid via PayPal, Wise, or bank transfer
- Quarterly distribution (March, June, September, December)
3. RELATIONSHIP OF PARTIES
Contributor is an independent contractor, NOT an employee, partner, agent, or joint venturer. No employment relationship exists. Contributor is solely responsible for:
- All taxes, social security, health insurance, and compliance with local laws
- Own equipment, software licenses, internet connection
- Setting own hours and work methods
Company has no obligation to provide benefits, paid time off, or minimum payments.
GLOBAL CONTRACTOR STATUS
This Agreement is designed for global independent contractors. By signing, you confirm you are eligible to work as an independent contractor in your jurisdiction and responsible for your own tax compliance.
4. INTELLECTUAL PROPERTY
Contributor hereby irrevocably assigns to Company all right, title, and interest worldwide in:
- All work product created under this Agreement
- All inventions, code, designs, documentation
- Any pre-existing materials incorporated into deliverables
Contributor waives all moral rights and consents to modifications.
This assignment is global and perpetual, covering all jurisdictions worldwide.
5. CONFIDENTIALITY
Contributor will not disclose Company's confidential information, including:
- Business plans and financial projections
- Source code and technical specifications
- User data and analytics
- Revenue figures and payment information
- Roadmap and unreleased features
Confidentiality obligation survives termination of this Agreement.
6. TERM AND TERMINATION
- Either party may terminate with 14 days written notice
- Upon termination, Contributor forfeits unpaid revenue share from that period
- Phase 3 status requires continuous activity; 2 inactive quarters = demotion to Phase 2
- Company may terminate immediately for breach of IP or confidentiality terms
7. REPRESENTATIONS AND WARRANTIES
Contributor represents and warrants:
- Eligible to work as independent contractor in their jurisdiction
- Not bound by any agreement preventing performance of Services
- All work is original and does not infringe third party rights
- Will comply with all applicable laws and regulations
- Has disclosed any conflicts of interest
8. GOVERNING LAW AND DISPUTE RESOLUTION
This Agreement governed by laws of Prince Edward Island, Canada.
Disputes resolved in Charlottetown, PEI courts.
Contributor consents to jurisdiction and waives objections to venue.
The United Nations Convention on Contracts for the International Sale of Goods does not apply.
9. MISCELLANEOUS
- Entire agreement; supersedes prior discussions
- Severability; if any provision invalid, remainder continues
- No waiver of any provision considered waiver of any other
- Assignment: Company may assign; Contributor may not
- Electronic signatures and records binding
- Notices: via email to addresses provided
BY ACCEPTING THIS AGREEMENT
BY CLICKING "I AGREE" OR COMMENCING WORK, CONTRIBUTOR:
1. Accepts all terms and conditions of this Agreement
2. Acknowledges reading and understanding all provisions
3. Confirms independent contractor status
4. Accepts IP assignment and confidentiality obligations
5. Agrees to global jurisdiction in Prince Edward Island, Canada
This constitutes a legally binding agreement between Contributor and Feerebu Studios.
